Terms and Conditions
Review the contractual conditions that govern the service and frame our mutual responsibilities under the law.
1. Acceptance & Eligibility
Using Centinela means you fully accept these terms, the privacy policy, and any addendum communicated inside the dashboard under applicable law.
- You declare that you have legal capacity and, when acting for a company, the authority to bind it.
- You must comply with the laws of your jurisdiction and cannot use the service in sanctioned territories.
- We may request further verification (corporate domain, identity, or tax documents) before enabling sensitive features.
- Keeping an active account confirms you have read the current version of this document.
- If any regulation prevents you from complying with these terms, you must notify us immediately and pause usage until resolved.
2. Platform Scope & Availability
We deliver monitoring, diagnostics, and alerts on a commercially reasonable effort basis, subject to published technical limits and available infrastructure.
- Features vary per plan; limits (intervals, teams, integrations) are described inside the dashboard or sales sheets.
- We perform planned maintenance and emergency work whenever security or a third party requires it; critical events are announced on our status page.
- We rely on third-party providers (hosting, communications, payments). Outages caused by them are treated as force majeure.
- We may retire obsolete or beta modules without any obligation to maintain them when they pose risk or are obsolete.
- The Customer solely configures monitors, thresholds, and automated responses; Centinela does not operate your infrastructure or perform manual interventions.
3. Billing, Taxes & Refunds
Plans renew on a recurring basis and amounts may include indirect taxes according to your jurisdiction.
- You authorize automatic charges to the registered method; if a payment fails we may suspend access until it is regularized.
- Invoices and tax receipts rely on the data you provide; you are responsible for its accuracy and validity.
- Refunds only apply when we breach documented commitments or when required by law, and are limited to the affected period.
- Promotional credits or courtesy extensions are neither transferable nor refundable.
4. Use & Security Rules
The platform must not be used for abuse, unlawful activities, or invasive testing without authorization.
- Avoid spam, denial-of-service attempts, unauthorized mining, excessive scraping, or any action that degrades the service.
- Protect your credentials and API keys; all activity recorded with them is attributed to the holder.
- You must respect applicable monitoring laws and obtain consent when observing third-party infrastructure.
- Suspected vulnerabilities must be responsibly reported to security@centinela.monitor before disclosure.
5. Data, Confidentiality & Retention
We process data solely to provide the service and assume no additional regulatory obligations unless specific agreements are signed.
- Monitoring data is hosted in the communicated regions and deleted once the plan’s retention window expires.
- We sign processing and confidentiality agreements with critical providers and require equivalent controls.
- You may request exports in standard formats while your account is active and in good standing.
- Access to sensitive data is restricted to authorized staff bound by confidentiality and auditable logs.
- After termination we may retain minimal information to meet legal duties, resolve disputes, or enforce rights.
6. Intellectual Property & Licenses
Centinela retains all rights to its software, trademarks, and content, granting you a limited license to use the service.
- You do not gain ownership of the platform and may not copy, reverse-engineer, or create derivatives without written permission.
- The materials you upload remain yours; you grant us a license to process them and deliver support.
- You may use our logos only under the published guidelines and without implying improper endorsements.
- You agree that any feedback or suggestion may be used freely without obligation to acknowledge or compensate you.
7. Warranties, SLA & Liability Limits
We operate under commercially reasonable standards, yet the service is provided “as-is” with limited warranties.
- We do not guarantee uninterrupted availability or absolute accuracy of monitoring data.
- SLA credits, when applicable, are the sole remedy for availability breaches.
- We are not liable for indirect damages, lost profits, data loss, or punitive damages.
- Our aggregate liability is capped at the fees paid for the service during the twelve months preceding the claim.
- These limitations apply even if we were advised of the possibility of such damages or if a remedy fails its essential purpose.
8. Dispute Resolution & Indemnity
We aim to resolve disputes in good faith before escalating to formal instances.
- Both parties will cooperate to solve incidents within 30 days of written notice.
- The Customer will indemnify and hold Centinela harmless from third-party claims arising from misuse of the service, legal infringements, or customer-provided data.
- We may seek injunctive relief if we detect use that harms our IP or platform security.
- These terms are governed by the laws of Mexico and disputes shall be brought before the courts of Mexico City unless mandatory law dictates otherwise.
- The Customer waives participation in class actions or representative suits against us unless forbidden by applicable law.
9. Modifications & Termination
We may update these terms and terminate accounts that breach essential obligations.
- We will publish the effective version and date; material changes are communicated via email or inside the dashboard.
- You may cancel the subscription anytime from the dashboard. Pending obligations (payments or confidentiality) remain enforceable.
- We may suspend or close accounts that violate these terms, compromise security, or breach regulations.
- Termination does not limit our right to collect outstanding balances nor affect clauses that by nature shall survive.
